Welcome to ServQuik. These SaaS Terms of Use ("Terms") govern your access to and use of the software as a service (SaaS) provided by Kasadel Software Corporation, operating as ServQuik Technologies ("ServQuik", "we", "us", or "our"), located in Ontario, Canada. By accessing or using our Service, businesses or entities ("you", "your", or "User") enter into a binding legal agreement with ServQuik. Your agreement to these Terms also includes our Privacy Policy and acknowledges the jurisdiction of Ontario, Canada.

1. SaaS Service License

1.1. ServQuik grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Service for your business operations, subject to these Terms.

2. License Restrictions

2.1. You agree not to use the Service for any unlawful purposes, and not to violate our rights or those of others. You may not (a) sublicense, sell, or lease the Service; (b) use the Service for hosting services; (c) access the Service to build a similar or competitive product; (d) reverse engineer or decompile any part of the Service, except to the extent that such restriction is expressly prohibited by law.

3. White Labeling

3.1. The Enterprise Plan includes options for white labeling, allowing you to customize the Service with your branding. This feature must be used in accordance with our guidelines and does not imply any transfer of intellectual property rights.

4. Support and Service Levels

4.1. ServQuik provides customer support and service levels according to the plan selected. Details of support hours, response times, and service level agreements (SLAs) are provided separately and form part of these Terms.

5. Fees and Payment

5.1. All fees for accessing and using the Service are denominated in USD unless otherwise specifically mentioned. Fees are detailed in our pricing plans and are non-refundable, except as required by law. We offer Monthly and Quarterly Billing options.

6. Term

6.1. These Terms will remain in effect as long as you use the Service or until terminated by either you or ServQuik. Upon termination, you must cease all use of the Service and delete all copies of any software provided by ServQuik.

7. Dispute Resolution

7.1. Any disputes arising out of these Terms will be resolved through final and binding arbitration under the rules of the American Arbitration Association, conducted in Ontario, Canada. By agreeing to these Terms, you waive any right to participate in a class action or class-wide arbitration.

8. Taxes

8.1. You are responsible for all taxes, levies, duties, or similar governmental assessments, excluding only taxes based on ServQuik's income. You must provide us with any direct tax payments or exemptions. If we are required to pay or collect taxes for which you are responsible, you will reimburse us for such amounts.

9. Intellectual Property and User Data

9.1. All rights to the Service and its components are owned by Kasadel Software Corporation or its licensors. You retain ownership of data you enter into the Service ("User Data"), granting us a license to use it as necessary to provide the Service.

10. Termination

10.1. Your rights under these Terms will terminate automatically if you fail to comply with any term(s) of these Terms. Upon termination, you must cease all use of the Service.

11. Disclaimers and Limitation of Liability

11.1. The Service is provided "as is", without warranty of any kind. Kasadel Software Corporation, operating as ServQuik Technologies, shall not be liable for any damages that result from the use of, or inability to use, the Service.

12. Indemnification

12.1. You agree to indemnify and hold harmless Kasadel Software Corporation, its affiliates, officers, agents, and employees from any claim or demand made by any third party due to or arising out of your use of the Service, violation of these Terms, or violation of any rights of another.

13. Amendments to Terms

13.1. We reserve the right to modify these Terms at any time. Your continued use of the Service after such modifications constitutes your acceptance of the new Terms.

14. Governing Law

14.1. These Terms shall be governed by the laws of Ontario, Canada.
